Terms of Service

Effective date: August 28, 2026

These Terms of Service (the “Terms”) govern access to and use of Cortee.ai (the “Service”), and form a binding agreement between the Customer and the provider identified in Section 1.1 (“we”, “us”, or “our”). By creating an account or completing checkout, the Customer accepts these Terms. The processing of personal data is described in the Privacy Policy and Cookie Policy. For business Customers, the Data Processing Agreement also applies as set out in Section 1.6. For consumer Customers, the Right of withdrawal (Widerrufsbelehrung) applies as set out in Section 3.5. Third-party licence notices are set out in the open-source notices.

1. Scope and contracting parties

1.1 Provider

Cortee.ai is a service provided by Nándor Babina (Einzelunternehmen) with its place of business in Stuttgart, Germany. Complete contact and identification details, including the correspondence address, are set out in the Imprint, which forms part of these Terms.

1.2 Merchant of record

Subscriptions to Cortee.ai are sold by Paddle Payments Ltd., The Academy, 42 Pearse Street, Dublin 2, D02 HV59, Ireland, acting as merchant of record. Accordingly, the Customer pays Paddle, and Paddle issues invoices and collects any applicable taxes on our behalf.

1.3 Eligible territories

Cortee.ai is offered exclusively to Customers located in the United States, the United Kingdom, Switzerland, or a member state of the European Union, namely Austria, Belgium, Bulgaria, Croatia, Cyprus, the Czech Republic, Denmark, Estonia, Finland, France, Germany, Greece, Hungary, Ireland, Italy, Latvia, Lithuania, Luxembourg, Malta, the Netherlands, Poland, Portugal, Romania, Slovakia, Slovenia, Spain, and Sweden. Customers located elsewhere may neither register an account nor purchase a subscription.

1.4 Export and sanctions

The Customer may not use Cortee.ai if the Customer is located in a country or territory subject to comprehensive trade sanctions, or if the Customer is listed on a sanctions list maintained by the European Union, Germany, the United Nations, or the United States (including OFAC). The Customer shall not export or re-export Cortee.ai, or any related software or technical data, in violation of applicable export-control or sanctions laws, and is responsible for complying with those laws.

1.5 Eligible Customers and accounts

Cortee.ai is intended primarily for businesses and the individuals they invite, although private individuals may also subscribe, in which case mandatory consumer law remains unaffected. The Customer must have reached the age of 18, or such higher age of majority as applies at the Customer’s place of residence, and any person subscribing on behalf of an organisation warrants that they are authorised to bind it. The Customer remains responsible for all persons it invites to its account.

1.6 Data Processing Agreement

Where the Customer is a business or other organization, the Data Processing Agreement forms part of these Terms. By accepting these Terms, such a Customer also agrees to that Data Processing Agreement.

2. Provision and use of Cortee.ai

2.1 Subject matter

Cortee.ai is an AI-assisted tool that generates and maintains documentation for the Customer and the individuals the Customer invites. Subject to these Terms and to payment of the applicable fees, we grant the Customer a non-exclusive, non-transferable right to use Cortee.ai for the duration of the subscription.

2.2 AI-generated output

Output produced by Cortee.ai is generated automatically and may be incomplete, inaccurate, or misleading, including instructions that should not be followed. The Customer is therefore obliged to review all output before relying on it, and remains responsible for the use made of it by the Customer and by the individuals it invites, including their instruction and training. Cortee.ai does not constitute legal, medical, financial, or other professional advice.

2.3 Availability and changes

While we endeavour to provide uninterrupted operation, no minimum availability is warranted and no service level agreement applies. We may modify, add, or discontinue individual features, and we do not warrant that Cortee.ai will remain available indefinitely; where a paid feature is discontinued, the Customer will no longer be charged for it.

Should Cortee.ai be discontinued in its entirety, we will inform affected Customers as soon as that decision is known and in any event no later than thirty (30) days before the service ceases, unless a shorter period is required by law or is unavoidable in the circumstances. Until the service ceases and for at least thirty (30) days thereafter, the Customer may export its content in a commonly used, machine-readable format so as to retain access to the content it created, and any fees prepaid for the period following discontinuation will be refunded in accordance with Section 3.6.

2.4 Customer content and backups

The Customer retains ownership of the content it submits and of the resulting output, to the extent permitted by law, and warrants that it holds the rights necessary to submit that content. The Customer grants us a licence to host and process such content solely for the purpose of operating Cortee.ai, and we do not use customer content to train models.

Although backups are performed as part of routine operation, no guarantee against data loss can be given, and the Customer is advised to retain its own copies of any content it cannot afford to lose. We treat Customer content as confidential and use it only to operate Cortee.ai. The Customer shall indemnify us against claims by third parties arising from content the Customer submits, to the extent the Customer is responsible for that content.

2.5 Acceptable use

The Customer shall not use Cortee.ai for unlawful purposes, in order to compromise the service or other Customers, or to store special categories of personal data or data relating to children. Content believed to be unlawful may be reported using the contact details in the Imprint or the contact form. We will acknowledge reports and, where appropriate, remove or restrict access to the content and inform the Customer.

3. Fees and payment

3.1 Fees and taxes

The Customer shall pay the fees applicable to the plan selected at checkout. Unless expressly agreed otherwise, fees are payable in advance of use and are due immediately. All prices are stated net of taxes, and any applicable value added, sales, use, excise, or similar tax is added at checkout unless the Customer qualifies for an exemption and submits the required documentation to the merchant of record.

3.2 Plan limits

Each plan includes a maximum number of members (seats), a maximum volume of AI-assisted edits, and, where a document limit is stated for the plan, a maximum number of documents, each as stated for the plan selected at checkout. Plans offered with unlimited documents are not subject to a document limit. Because AI-assisted editing consumes third-party model capacity, it is subject to fair use within the volume included in the plan.

Once a limit is reached, the corresponding function becomes unavailable until the Customer creates capacity or changes plan. In particular, no further members may be invited once the seat limit is reached, although the Customer may remove existing members and invite others in their place; where a document limit applies, no further documents may be created once that limit is reached, although the Customer may delete existing documents and create others in their place; and AI-assisted editing is unavailable once the edit limit is reached.

The included volume of AI-assisted edits resets at the beginning of each billing period. Seat limits, and any document limit that applies, are standing ceilings and do not reset. The Customer’s current usage and the limits applicable to its plan are available at any time after logging in, under “Manage Subscription”.

3.3 Changes of plan

Upon an upgrade, the limits of the new plan apply immediately and the Customer pays the pro-rated difference in price for the remainder of the current billing period. Upon a downgrade, the limits of the new plan likewise apply immediately and the pro-rated difference is credited to the Customer’s account balance for set-off against future invoices; such credit is not paid out in cash.

Where existing members or documents exceed the limits of a reduced plan, they remain accessible, but no further members may be invited and no further documents may be created until the Customer’s use is again within those limits.

3.4 Term and cancellation

Subscriptions renew automatically for successive billing periods until cancelled by the Customer, which may be done at any time from within the account and without contacting us. Cancellation must be effected before the renewal date in order to prevent the next renewal; it takes effect at the end of the billing period already paid for and does not shorten that period. Fees already paid are not refunded upon cancellation, save where the Customer is entitled to a refund or withdrawal under Section 3.5 or where mandatory law provides otherwise. Any change to the applicable price will be notified at least seven (7) days before it takes effect.

3.5 Refunds and withdrawal

The Customer may request a full refund within fourteen (14) days of purchase, which the merchant of record will pay to the payment method originally used. Consumers resident in the European Union, the United Kingdom, or Switzerland additionally retain their statutory right of withdrawal within fourteen (14) days of concluding the contract. The instruction on that right (Widerrufsbelehrung), including the model withdrawal form, is set out on the Right of withdrawal page and forms part of these Terms.

3.6 Suspension and termination

We may suspend or terminate access in the event of non-payment, a breach of these Terms, or where required by law. We may additionally terminate a subscription for other reasons upon reasonable notice, in which case the unused portion of the period already paid for will be refunded.

4. Liability

4.1 Unlimited liability

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law. We remain fully liable for intent and gross negligence, for death or personal injury caused by negligence, and in all further cases in which mandatory law precludes a limitation.

4.2 Consumers

Consumers resident in the European Union, the United Kingdom, or Switzerland retain their statutory rights in full, including their rights where a digital service is defective or does not correspond to its description, and Section 4.3 does not restrict those rights.

4.3 Business customers

For business customers, and otherwise to the extent permitted by law, we do not warrant that Cortee.ai will be uninterrupted, error-free, or fit for a particular purpose beyond what these Terms require. In cases of ordinary negligence, we are liable only for the breach of an obligation essential to the performance of this agreement (Kardinalpflicht), and then only for damage that is typical and foreseeable for a service of this kind; liability for indirect or consequential loss, lost profits, and business interruption is excluded. Our aggregate liability is limited to the fees paid for Cortee.ai in the twelve (12) months preceding the event giving rise to the claim.

4.4 Third-party services and force majeure

Cortee.ai relies on services operated by third parties, including for authentication, payment, hosting, and model inference. We are not liable for interruptions attributable to those providers, nor for any delay or failure in performance caused by events beyond our reasonable control.

5. Final provisions

5.1 Governing law and jurisdiction

These Terms are governed by German law, save where mandatory consumer law affords the Customer greater protection. Consumers resident in the European Union, the United Kingdom, or Switzerland may also bring proceedings before the courts of their place of residence.

5.2 Amendments

We may amend these Terms. Where a change is material, we will give reasonable notice before it takes effect. The Customer may terminate the subscription with effect before the change takes effect if the Customer does not accept it. Continued use of Cortee.ai after the effective date of a notified change constitutes acceptance of the amended Terms. Changes required by law may take effect earlier where necessary.

5.3 Severability

Should any provision of these Terms be or become invalid, the remaining provisions remain in full force and effect, and the invalid provision applies to the fullest extent permitted by law. Provisions concerning Customer content, liability, and governing law survive termination of the subscription.
